These Terms of Use (the “Terms”) govern your access to and use of PartyTyme Entertainment’s websites, booking experiences, content, products, and services (collectively, the “Services”). Please read them carefully.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

1. Acceptance of Terms

By accessing or using the Services provided by PartyTyme Entertainment (“PartyTyme”, “we”, “us”, or “our”), you agree to be legally bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are using the Services on behalf of an organization or entity, you represent and warrant that you are authorized to accept these Terms on that entity’s behalf, and that such entity agrees to be responsible to us if you or that entity violates these Terms.

2. Changes to These Terms

We may modify these Terms from time to time. When we do, we will update the “Last Updated” date at the top of this page and, where appropriate, provide additional notice (such as by email or through the Services). Changes are effective when posted unless otherwise stated. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

3. Eligibility & Age Requirements

You may use the Services only if you are at least the age of majority in your jurisdiction and capable of forming a binding contract, or you have the consent of a parent or legal guardian. By using the Services, you represent and warrant that you meet these eligibility requirements and that any information you provide to us is accurate and complete.

4. Accounts, Bookings & Event Information

To use certain features of the Services, including booking entertainment, you may need to create an account or provide specific event information. You agree to:

• Provide accurate, current, and complete information when creating an account or submitting booking details;
• Maintain and promptly update your information as necessary;
• Maintain the confidentiality of your login credentials and restrict access to your account;
• Accept responsibility for all activities that occur under your account or in connection with your event booking.

We reserve the right to refuse, suspend, or terminate your account or any booking if we suspect that information provided is inaccurate, incomplete, misleading, or in violation of these Terms.

5. Pricing, Payments & Cancellations

Prices, fees, and any additional charges for our Services will be displayed to you before you confirm a booking. By booking through our Services, you agree to pay all amounts due in accordance with the applicable pricing, payment terms, and any additional terms presented at the time of booking.

Unless otherwise stated in a separate written agreement, all payments are due in the currency and at the times specified during the booking process. You authorize us (and our third‑party payment processors) to charge the payment method provided for all amounts due and payable in connection with your use of the Services.

Our specific cancellation, refund, and rescheduling policies may vary depending on the type of event or package purchased and will be provided to you at or before the time of booking. By confirming a booking, you agree to the applicable cancellation and refund terms. Certain bookings may be non‑refundable or subject to fees if cancelled, rescheduled, or modified.

6. Event Requirements, Venue Responsibilities & Safety

You are responsible for ensuring that your venue and event setup comply with all applicable laws, regulations, venue rules, and safety requirements, including capacity limits, permits, licenses, and noise or curfew regulations. You agree to provide a safe and suitable environment for our team, performers, and equipment and to follow any reasonable instructions we provide related to setup, safety, and operation.

PartyTyme is not responsible for any failure to deliver Services arising from your failure to meet venue, power, access, timing, or safety requirements. In such cases, fees already paid may be non‑refundable, and additional charges may apply if we are required to spend additional time or resources to address issues under your control.

7. Acceptable Use & User Conduct

You agree not to use the Services, or permit others to use the Services, in any manner that:

• Violates any applicable law, regulation, or third‑party right;
• Is fraudulent, misleading, or deceptive;
• Is threatening, harassing, hateful, or otherwise objectionable;
• Interferes with, disrupts, or damages the operation of the Services or our equipment;
• Attempts to gain unauthorized access to any systems, networks, or data;
• Involves reverse‑engineering, decompiling, or otherwise attempting to derive the source code of the Services, except to the extent such restrictions are prohibited by law;

We may, in our sole discretion, suspend or terminate your access to the Services, cancel bookings, or remove any content if we believe that you have violated these Terms or otherwise engaged in unlawful or inappropriate behavior.

8. User Content & Media Usage

Certain parts of the Services may allow you to submit content, such as reviews, feedback, photos, videos, or event details (“User Content”). By submitting User Content, you represent and warrant that you own or have all necessary rights to such content and that it does not infringe or violate any third‑party rights or applicable laws.

You grant PartyTyme a worldwide, non‑exclusive, royalty‑free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with operating, promoting, and improving the Services. Where required by law, we will seek your additional consent before using identifiable photos or videos of you or your guests for marketing purposes.

9. Intellectual Property Rights

All rights, title, and interest in and to the Services, including but not limited to software, text, graphics, logos, trademarks, service marks, photos, videos, audio, and other content provided by PartyTyme (collectively, “PartyTyme Content”), are and will remain the exclusive property of PartyTyme and its licensors. The Services and PartyTyme Content are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services solely for your personal or internal business purposes. You may not copy, modify, distribute, sell, or lease any part of the Services or PartyTyme Content, nor may you reverse‑engineer or attempt to extract the source code of any software, except as permitted by law.

10. Third‑Party Services & Links

The Services may contain links to third‑party websites, products, or services that are not owned or controlled by PartyTyme. We do not endorse or assume any responsibility for any such third‑party sites or services. If you access a third‑party website or service from the Services, you do so at your own risk and you understand that these Terms and our Privacy Policy do not apply to your use of such sites or services. You should review the applicable terms and policies of any third‑party provider before using their services or sharing any personal information.

11. Disclaimers

To the fullest extent permitted by law, the Services and all PartyTyme Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. Without limiting the foregoing, we expressly disclaim any warranties of merchantability, fitness for a particular purpose, quiet enjoyment, non‑infringement, and any warranties arising out of course of dealing or trade usage.

We do not warrant that the Services will be uninterrupted, secure, or error‑free, that any defects will be corrected, or that the Services are free of viruses or other harmful components. Event experiences may be impacted by factors outside our control, including but not limited to venue issues, power outages, weather, transportation, and actions of guests or third parties.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will PartyTyme, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms or the Services will be limited to the greater of: (a) the amount you paid to PartyTyme for the specific event or Services giving rise to the claim, or (b) one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless PartyTyme and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your event, venue, or guests; (c) your violation of these Terms; (d) your violation of any third‑party right, including any intellectual property or privacy right; or (e) any claim that your User Content caused damage to a third party.

14. Termination & Suspension

We may suspend or terminate your access to the Services, cancel bookings, or remove User Content at any time, with or without cause, and with or without notice, if we believe you have violated these Terms or if we determine such action is reasonably necessary to protect our legitimate interests, other users, or third parties. Upon termination, your right to use the Services will immediately cease. Certain provisions of these Terms, by their nature, will survive termination, including those relating to ownership, disclaimers, limitations of liability, and indemnification.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by and construed in accordance with the laws of the jurisdiction in which PartyTyme is organized and primarily operates, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms or your use of the Services.

You agree to first attempt to resolve any dispute with us informally by contacting us using the information provided below. If we are unable to resolve a dispute informally, the dispute will be submitted to the exclusive jurisdiction of the courts located in the jurisdiction identified above, unless otherwise required by applicable law. Nothing in these Terms will prevent either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of its intellectual property or proprietary rights.

16. Miscellaneous

Entire Agreement. These Terms, together with any additional terms we present to you at the time of booking and our Privacy Policy, constitute the entire agreement between you and PartyTyme regarding your use of the Services and supersede any prior agreements or understandings (whether oral or written) relating to the subject matter hereof.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be deemed modified so as to be valid and enforceable to the maximum extent permitted by law.

No Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of PartyTyme.
